Corporate Governance Officer
Robert Walters is recruiting on behalf of NatWest Markets for a highly skilled Corporate Governance Officer to join their Amsterdam office.
NatWest Markets operates at the centre of international financial markets, providing financing, risk management, and advisory products to institutional clients. The Dutch entity is a regulated banking platform with a multi-jurisdictional structure, playing a critical role in the group’s European strategy.
This is a unique opportunity for an experienced governance professional to work closely with senior leadership and shape the governance framework of a regulated financial markets institution.
The Role
As Corporate Governance Officer, you will lead and support the governance agenda for NatWest Markets NV and selected international subsidiaries. You will act as a trusted advisor to the Managing Board, Supervisory Board, and key committees, ensuring governance excellence, regulatory compliance, and high-quality decision-making processes across the entity.
This is a high-visibility position with significant impact, suited to someone who combines technical expertise with relationship-building skills.
Key Responsibilities
Board & Committee Support

Serve as Secretary to the Managing Board, Supervisory Board, and relevant governance committees.

Prepare agendas, board packs, and minutes to an exceptional standard.

Coordinate the annual general meeting and support statutory approval processes, including the annual report.
Governance Framework & Advisory

Design, maintain, and enhance the governance framework, including articles of association, internal rules, and committee charters.

Monitor DNB/AFM developments, the Dutch Corporate Governance Code, and wider EU regulatory expectations; advise leadership accordingly.

Support implementation of group-wide governance and subsidiary oversight requirements.
Regulatory & Statutory Compliance

Maintain statutory registers, manage powers of attorney, and ensure accurate filings with the Dutch Chamber of Commerce and other authorities.

Collaborate with legal, regulatory, audit, and external advisers on governance-related matters.

Act as a point of contact for governance information requests, internal reviews, and regulatory engagements.
Stakeholder Management

Build trusted working relationships with executive and non-executive directors, senior management, group governance teams, and external advisers.

Provide clear, concise, and practical governance guidance across the organisation.
What You Bring
-
Strong understanding of Dutch corporate law, governance codes, and requirements relevant to regulated financial institutions.

Proven experience supporting board-level governance within financial services or a regulated corporate environment.

Excellent drafting skills (minutes, board papers, regulatory documents).

Strong organisational capability, attention to detail, and discretion with sensitive matters.

Comfortable operating in a dynamic, international, multi-stakeholder environment.

Fluency in Dutch and English is required.
