Legal Counsel - Finance

SBM Offshore is seeking a Legal Counsel Finance to join their highly international and inclusive team based in Schiphol.

What you'll do:

• You will structure and execute debt financing solutions for FPSO projects, including sale and leaseback arrangements tailored to complex international requirements.
• You will advise on US Bond market transactions, ensuring compliance with relevant regulations and best practices while facilitating successful closings.
• You will manage all aspects of financial transactions from inception through completion, providing legal guidance throughout each stage.
• You will build strong relationships with internal stakeholders across departments as well as external partners to ensure seamless communication and collaboration.
• You will lead contract negotiations with counterparties, focusing on achieving mutually beneficial outcomes while protecting SBM Offshore’s interests.
• You will coordinate with external counsels in multiple jurisdictions to address local legal requirements and ensure consistency across all documentation.
• You will draft, review, and negotiate financial agreements including those governed by LMA standards to facilitate smooth transaction processes.
• You will provide strategic advice on risk mitigation related to financing structures and contractual obligations within large-scale energy projects.

What you bring:

• A law degree from a recognised university is essential for this position as it provides the foundational knowledge required for complex financial transactions.
• Experience working under common or civil law systems equips you with the versatility needed to operate across multiple jurisdictions.
• A proven track record in structuring debt financing deals and successfully closing transactions demonstrates your reliability in high-stakes environments.
• Commercial experience enables you to understand business drivers behind legal decisions and contribute effectively to multidisciplinary teams.
• Fluency in English is mandatory as it ensures clear communication within SBM Offshore’s international network; proficiency in Dutch, French or Portuguese would be highly advantageous for engaging with global stakeholders.
• Excellent interpersonal skills allow you to collaborate harmoniously with colleagues from diverse backgrounds while fostering positive relationships externally.
• Strong analytical abilities enable you to assess risks accurately when reviewing contracts or advising on financial structures.
