Compliance Attorney
Four our client, SRS Scquiom we are looking for their new Attorney Compliance for their offices in Amsterdam. SRS Acquiom is a leading disruptor in the financial services technology space with a long track record of consistent growth, profitability, and innovation. Since the Company was founded in 2007, they have had a tremendous impact on how Mergers and Acquisitions (M&A) and Loan Agency transactions are completed globally.
Primary Responsibilities
- Oversee and ensure adherence to contractual requirements and deadlines.
- Provide guidance to internal teams regarding SRS Acquiom’s responsibilities under a variety of transactional agreements, including, but not limited to, contract analysis, resolution of name inconsistencies, and monitoring of critical dates.
- Support stakeholders in deal-related transactions, particularly during issue escalation.
- Respond to questions from internal teams and other stakeholders concerning deal terms and contract interpretation.
- Conduct legal review for post-closing transfers of interest, including examination of transactional agreements and associated transfer documents such as probate and organizational records.
- Prepare and/or evaluate letters of instruction to resolve name discrepancies and address residual interests.
- Participate in quality assurance reviews of Compliance Specialist analyses pertaining to the post-closing flow of funds for transactional agreements.
- Assist in amending agreements upon request.
- Efficiently handle a high volume of email correspondence and manage workload pipelines.
- Collaborate with internal departments to facilitate effective problem-solving and resolution.
- Apply critical thinking and analytical strategies to identify and implement viable solutions when challenges arise.
- Assist with KYC inquiries.
- Manage invoice payments and shareholder reachouts as needed.
- Interpret allocation spreadsheets.
- Help Imports team with discrepancies as needed.
- Will provide assistance to the intake team pre-closing.
- Review of deal agreements for provisions allowing company to disclose client relationships for marketing purposes.
- Manage and execute special projects as directed by Management.
- Provide support for additional legal and compliance tasks as required.
Required Qualifications & Skills
- Graduate from an accredited law school.
- Licensed attorney with strong academic background.
- Experience with transactional matters and general contract matters.
- Minimum of 3 years in a general compliance role, preferred.
- Highly motivated self-starter with the ability to work collaboratively and independently
- Operates with highest integrity and attention to detail
- Excellent communication (verbal and written), facilitation, and interpersonal skills
- Can work within deadlines and complete work in a timely manner
- Strong analytical and organizational skills
- The ability to manage multiple time sensitive tasks in a challenging, fast paced, deadline driven, and fluid environment
- Maintain a high level of confidentiality and integrity
- Fluent in Dutch & English and able to work in Netherlands, Amsterdam.
