Description

We are looking for a highly motivated and business driven Senior Legal Counsel - Finance and M&A to join SABIC’s legal team to support the company’s global finance and M&A projects. The position in based in Amsterdam (The Netherlands) but alternative locations in Europe can be discussed depending on profile and seniority.

As a Senior Legal Counsel – Finance and M&A, you will be part of a global legal affairs team consisting of more than 100 lawyers worldwide. As part of a small team reporting to the Chief Counsel M&A, Corporate Finance and JV Affairs, you will provide independent all-round legal support for financing transactions and M&A projects.

Responsibilities Senior Legal Counsel Finance and M&A

Your primary responsibility will be to support the SABIC group’s corporate finance organization in debt financing transactions (corporate finance, project finance and debt issuance for SABIC and its joint-ventures globally) and general operations (intercompany financing arrangements, derivatives agreements and different type of agreements with financial institutions as required for the run-and-maintain of a group of almost 200 legal entities world-wide).

Your secondary responsibility, depending on workload and deal flow, will be to support M&A projects of different nature and complexity. You will also be involved in intercompany projects in cooperation with colleagues in other regions and functions and you will contribute to initiatives in the field of compliance with the business teams you support.

You will impart training and guidance to other members of the legal team and/or client group with a view to upscaling their capabilities. Your scope of work will be diverse, with a strong global exposure and requiring you to work closely with the relevant businesses and functions within SABIC. You will be based preferably in Amsterdam, but alternative locations in Europe can be discussed depending on your profile and seniority. Profile

Profile Senior Legal Counsel Finance and M&A

• You are a qualified lawyer, preferably in a common law jurisdiction. A specialized qualification in finance law is a plus.
• You have a minimum of 6 years PQE, ideally in the finance or M&A practice of an international law firm. If you have worked in-house, your primary responsibility has been to support finance and M&A projects in an international context.
• You have a proven experience in providing legal support for corporate finance transactions (corporate finance, project finance, security issuance, derivative agreements, etc). 
• You are familiar with the EU and US regulatory framework for financial services.
• You have a good business sense and can be an active part of a project team beyond your strict legal role. 
• You are fluent in English. Any other language is a plus. 
• You are internationally minded and like to work in a culturally diverse environment. 
• You are pragmatic, pro-active and result-oriented. 
• You are able to communicate effectively and manage diverse stakeholders. 
• You can operate in a multijurisdictional environment without always resorting to outside counsel.
