Within Deutsche Post International, an opportunity has arisen for a Corporate Governance & Holding Company Specialist to join the team responsible for the governance and financial oversight of the Group's Dutch holding companies and their international subsidiary portfolio.
The role
This is a unique position at the intersection of corporate governance, finance, accounting and investments.
You will support the boards of several Dutch holding companies in their role as shareholders of a large international portfolio of wholly owned, partially owned and joint venture subsidiaries.
The role goes beyond traditional corporate governance. Alongside board and shareholder matters, you will assess financial information, support capital and investment decisions and contribute to the financial control of the holding companies.
You will work closely with senior stakeholders across Corporate Finance, Legal and Tax, as well as divisional and local CFOs across the international organisation.
Key responsibilities
Your responsibilities will include:
- Supporting the boards of Dutch holding companies in their shareholder and governance responsibilities.
- Reviewing statutory financial statements from a shareholder perspective and supporting the preparation of financial statements for holding entities.
- Coordinating Annual and Extraordinary General Meetings and supporting Board Meetings.
- Contributing to decisions relating to dividend distributions, capital structures and equity measures.
- Assessing capital measures from a solvency and liquidity perspective.
- Supporting the governance and strategic oversight of the holding companies' investment portfolio.
- Monitoring corporate restructurings, transactions and other activities requiring shareholder involvement.
- Contributing to Internal Control Systems (ICS), risk management and governance frameworks.
- Supporting the negotiation and approval of agreements with internal and external stakeholders.
- Overseeing financial activities relating to the holding companies, including cash management, payments, receivables and statutory obligations.
- Managing multiple governance and finance-related projects in an international environment.
Your profile
DHL is specifically looking for a professional who can bridge corporate governance and finance. This is not a purely legal or company secretarial position.
You bring:
- A Bachelor's or Master's degree in Finance, Accounting, Business Economics, Corporate Law or a related discipline.
- Minimum 6 years of relevant professional experience.
- Experience within corporate governance, holding company finance, accounting, audit, legal entity management or a related environment.
- A solid understanding of financial statements, accounting analysis and financial reporting.
- Knowledge of Dutch corporate law and corporate governance.
- Familiarity with IFRS, internal controls, audit and risk management.
- Strong project and stakeholder management skills.
- The confidence to communicate with boards, CFOs and other senior stakeholders.
- A hands-on, pragmatic and independent working style.
- Fluency in Dutch and English.
