Associate Director - Legal

Position Summary

The Associate Director is responsible for reviewing and analyzing SRS Acquiom’s contractual obligations in various M&A transactions and ensuring compliance with those obligations.

This position also provides legal advice and counsel to internal teams as well as legal recommendations to external parties.

Primary Responsibilities

• Oversee and ensure adherence to contractual requirements and deadlines.
• Support stakeholders in deal-related transactions, particularly during issue escalation.
• Conduct legal review for post-closing transfers of interest, including examination of transactional agreements and associated transfer documents such as probate and organizational records.
• Participate in quality assurance reviews of Compliance Specialist analyses pertaining to the post-closing flow of funds for transactional agreements.
• Assist with KYC inquiries.
• Manage invoice payments and shareholder reachouts as needed.
• Help Imports team with discrepancies as needed.
• Will provide assistance to the intake team pre-closing: draft, review, negotiate, and finalize engagement documentation for the shareholder representative and escrow and payments business lines.
• Review of deal agreements for provisions allowing company to disclose client relationships for marketing purposes.
• Manage and execute special projects as directed by Management.
• Provide support for additional legal and compliance tasks as required.

Required Qualifications & Skills

• LL.M from a reputable university in Europe or a university degree and a postgraduate legal qualification.
• At least 6-8 years relevant workexperience.
• Background as a Lawyer;
• M&A, Securities, Corporate or Transactional Experience.
