What you'll do:
In this Legal Counsel Finance role at SBM Offshore in Schiphol, you will be at the heart of high-value financial transactions that shape the future of global energy projects. Your day-to-day activities will involve close cooperation with internal stakeholders from diverse backgrounds as well as external counsel in numerous countries. You will provide essential legal support throughout all stages of project finance deals—ensuring regulatory compliance in complex bond markets while drafting robust contractual frameworks for multi-jurisdictional operations. By leveraging your analytical skills and attention to detail, you will help safeguard SBM Offshore’s interests during negotiations involving loans, securities documentation or M&A activity. Your ability to communicate clearly with both legal experts and business leaders will ensure that all parties are aligned on risk management strategies. - Develop a comprehensive understanding of SBM Offshore’s debt and equity financing structures for floating production storage and offloading units (FPSOs), including sale and leaseback arrangements.
- Analyse and interpret regulations governing the US bond market, particularly Regulation S and Rule 144A, ensuring compliance across all relevant transactions.
- Collaborate as a trusted advisor within deal teams to facilitate the successful closure of financial transactions such as joint ventures, restructurings, mergers and acquisitions, and liquidity instruments.
- Deliver timely, accurate, and pragmatic legal advice to stakeholders across SBM Offshore’s Corporate Finance and Strategic Finance business lines on a wide range of legal finance topics.
- Act as the primary point of contact for external law firms during contract negotiations spanning multiple jurisdictions including Japan, Switzerland, the United States, the United Kingdom, France, the Netherlands, Brazil, Guyana, Surinam, Namibia, Malaysia, and China.
- Draft, review, and negotiate various financial agreements such as LMA-based loan documents, shareholder loans and agreements, conditions precedent documents, security documentation, non-disclosure agreements (NDAs), derivatives contracts, and share purchase agreements (SPAs).
- Report regularly to the Legal Counsel & Compliance Leadership Team on key legal issues and risks while identifying lessons learned and areas for improvement within the business.
- Foster strong inter-personal relationships with colleagues across SBM Offshore’s offices worldwide by building networks that support effective collaboration.
- Contribute actively to team learning by both seeking out new knowledge and sharing your own expertise through training others within the department.

- A law degree in either common law or civil law with substantial experience working within common law frameworks is required for this position.
- Fluency in English (both spoken and written) is essential; additional proficiency in Dutch, French or Portuguese would be advantageous.
- At least four years’ experience as an in-house legal counsel or within private practice is preferred for this role.
- Demonstrated success managing debt financing transactions collaboratively within professional teams is highly desirable.
- Experience operating effectively within commercial environments where business acumen complements technical legal skills is important.
